Terms of Service

1. Acceptance of Terms

By accessing or using Homard Cloud (“the Service”), operated by Homard Cloud (“we”, “us”, or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service. Your continued use of the Service following the posting of any changes to these terms constitutes acceptance of those changes.

2. Service Description

Homard Cloud is a software-as-a-service (SaaS) platform that enables users to deploy and manage AI assistant bots powered by OpenClaw. The Service provides one-click deployment of AI assistants that can connect to various messaging platforms including WhatsApp, Telegram, Slack, Discord, Signal, and Microsoft Teams. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts

To use the Service, you must create an account and provide accurate, complete, and up-to-date information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account. You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Payment & Subscriptions

Certain features of the Service require a paid subscription. All payments are processed securely through Stripe. Subscriptions automatically renew at the end of each billing cycle (monthly or yearly) unless cancelled before the renewal date. Prices are listed in US dollars and are subject to change with 30 days' prior notice. No refunds will be issued for partial billing periods. If a payment fails, we may suspend access to paid features until the outstanding balance is resolved. You are responsible for any applicable taxes.

5. Acceptable Use

You agree to use the Service in compliance with all applicable laws and regulations. The following activities are strictly prohibited:

  • Using the Service for any illegal, fraudulent, or harmful activity
  • Abusing, harassing, or sending unsolicited messages (spam) through your AI bots
  • Attempting to reverse-engineer, decompile, or disassemble any part of the Service
  • Interfering with or disrupting the integrity or performance of the Service or its infrastructure

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Homard Cloud and is protected by international copyright, trademark, and other intellectual property laws. OpenClaw is open-source software licensed under its own terms. Your data and content remain your property; however, you grant us a limited license to host, process, and transmit your content solely for the purpose of providing the Service. You may not use our trademarks, logos, or branding without our prior written consent.

7. Limitation of Liability

The Service is provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We make no guarantees regarding the accuracy, reliability, or appropriateness of any AI-generated outputs. You acknowledge that AI responses may contain errors or inaccuracies and that you are solely responsible for reviewing and verifying any content produced by your bots. To the maximum extent permitted by law, Homard Cloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to retrieve your data for a period of 30 days following termination. All provisions of these Terms that by their nature should survive termination shall remain in effect, including intellectual property rights, warranty disclaimers, and limitations of liability.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec, Canada. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the updated terms. We encourage you to review these Terms periodically.
